In using this website you are deemed to have read and agreed to the following terms and conditions.

The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and any or all Agreements: “Client”, “You” and “Your” refers to you, the person accessing this website and accessing this website and accepting the Company’s terms and conditions. “The Company”, “Ourselves”, “We and “Us, refers to our Company. “Party”, “Parties”, or “Us”, refers to both the client and ourselves, or either the Client or ourselves.

Footage Rights

Mediabox Productions “The Company” retain all rights to any such footage recorded by “Us” using our camera recording equipment for the purpose of recording any manner of video production. We reserve the right to “retain” all original “RAW” and or edited footage, sequence or video. The “Client” will be supplied the “goods” deemed as the final production “film” or “website” or “animation” when payment has been made in full to Mediabox Productions prior to the release or upload or transfer of any such final files.

Payment

Cash or Personal Cheque with Bankers Card, Bankers Draft or BACS Transfer are all acceptable methods of payment. Our Terms are payment in full within thirty days or upon receipt of invoice if this is stated for services rendered and work completed and delivered to the client.

All goods remain the property of the company until paid for in full. Any Monies that remains outstanding by the due date will incur late payment interest at the rate of 3% above the prevailing Bank of England’s base rate on the outstanding balance until such time as the balance is paid in full and final settlement received. We reserve the right to seek recovery of any monies remaining sixty days from the date of invoice via collection agencies and/or through the Small Claims Court in the event that the outstanding balance does not exceed £3000. In such circumstances, you shall be liable for any and all additional administrative and/or court costs.

Cancellation & Postponement

A minimum of 24 hours notice of cancellation is required for the “client” to change, alter, delay, postpone, and or re-arrange any filming scheduled and agreed. Notification is required in writing via email or text message and or voice via telephone. We reserve the right to levy a £30 charge to cover any subsequent administrative expenses.
A cancellation or postponement is defined as a rescheduling of the production to a later specific date caused or directed by Client or a total cancellation of the project.
If the Production Company blocks out a specific period of time with the agreement that it represents a firm commitment from the Client, then the Production Company makes no further efforts to sell the time. If the job is cancelled or postponed within the Guideline time frame, it is unlikely that this time can be re-booked. It should be understood that this time represents the Production Company’s only source of income.
If notice of cancellation/postponement is given to the Producer ONE TO TEN WORKING DAYS prior to the commencement of the shoot, the Client will be liable to the Production Company for:
(1) All out-of-pocket costs; (2) Full director’s fee as bid; and (3) Full production fee on the job as bid.
A. If notice of cancellation/postponement is given MORE THAN HALFWAY THROUGH the production schedule of the job, that is between the award or start date and the final delivery date, the Client will be liable to the Production Company for the full cost of the job as a bid.
B. If notice of cancellation/postponement is given IN THE SECOND QUARTER of the production schedule of the job, that is between the award or start date and the final delivery date, the Client will be liable to the Production Company for:
(1) All out of pocket costs, including the expense of all staff and free-lance labour attached to the project. This expense will include full payment through the original completion date if that labour is not re-booked by the company, or, in the case of the free-lance labour, not able to re-book itself on another project.
(2) Full creative fees as bid.
(3) Full production fee on the job as bid.

C. If notice of cancellation/postponement is given IN THE FIRST QUARTER of the production schedule of the job, that is between the award or start date and the final delivery date, the Client will be liable to the Production Company for:

(1) All out of pocket costs, including the expense of all staff and free-lance labour attached to the project. This expense will include full payment through the original completion date if that labour is not re-booked by the company, or, in the case of the free-lance labour, not able to re-book itself on another project.
(2) Not less than 50% of creative fees as bid.
(3) Not less than 50% of the production fee on the job as bid.

Termination of Agreements & Refunds Policy
We reserve the right to terminate any Services Agreement for any reason, including the ending of services that are already underway. No refunds shall be offered, where a Service is deemed to have begun and is, for all intents and purposes, underway.

Copyright and all other relevant intellectual property rights on all text relating to the Company’s services and the full content of this website including videos, copy, images, and or photographs is applied.

Mediabox Productions “Company”logo is a registered trademark of this company in the United Kingdom and other countries. The services and brand name of this company featured on this website are trade marked.

Force Majeure

Any failure to perform any such “service” and or obligation under any agreement which is due to an event beyond the control of such party including but not limited to any “Act of God” or any other man made eventuality outside of our control, which causes the termination of an agreement or contract entered into, nor which could have been reasonably foreseen.

Ownership

Upon receiving full payment of the sums due under this agreement from the Client the Producer will execute the attached Deed of Assignment of Intellectual Property Rights. Client agrees that the Producer may use the recorded footage as evidence of work for promotional and/or advertising purposes. Producer agrees that the Client can use the final project for its intended output as intended in this Agreement prior to full payment of the sums due under the agreement.

Indeminification

Client agrees to indemnify, defend and hold harmless the Producer and its employees and licensees from and against any and all claims, actions, damages, liabilities and expenses, arising out of the breach of any obligation, warranty or representation in this Agreement.

Producer agrees to indemnify, defend and hold harmless the Client and its employees and licensees from and against any and all claims, actions, damages, liabilities and expenses, arising out of the breach of any obligation, warranty or representation in this Agreement.

Changes in Specifications

If at any time, Client desires to make any changes or variations from the completed project, script, work in progress in addition to the two changes specified and this results in additional costs to the Producer, including person hours, reimbursement for such additional costs shall be payable in accordance with the terms of this agreement for final payment.

Security/Confidentiality
Producer understands that some information for said project may be of a confidential and/or sensitive nature. Producer agrees, at Client’s written request, to require, within reason, those engaged for the production to sign appropriate agreements not to discuss or disclose information about the project except as such disclosure may be necessary for Producer to produce project in the usual and customary manner under this Agreement.

Insurance
Mediabox Productions has Employers and Public/Products liability cover.

Alterations

Any alterations of the project is prohibited without the express permission of Producer. Producer will be given first opportunity to make any alterations required. Unauthorised alterations shall constitute in additional use and will be billed accordingly.
